Terms & Conditions of Sale

  1. The price shown on the invoice assumes that all conditions relating to that price are met, otherwise the appropriate premium may be added.

  2. Ownership of goods supplied shall pass only when payment has been received by the Seller in full and not upon delivery of the goods.

  3. Payment for supplies will be effected by cash on delivery in accordance with terms established from time to time by the Seller. Interest on overdue amounts shall be payable at 3% per month above the base lending rate of the Seller’s bankers.

  4. If the ordered volume does not fit in the Buyer’s tank or container then the pence per litreprice will be readjusted to the nearest 100 litres based on the agreed price at the point of order and a credit will be raised on the Buyer’s account. An under-delivery charge of £10 will be applied if the Buyer has overestimated the fuel order by between 10% and 19%. An under-delivery charge of £20 will be applied if the Buyer has overestimated the fuel order by more than 20%.

  5. The Buyer is responsible for providing suitable storage and ensuring that it will accept the full quantity ordered. The Buyer will indemnify the Seller against claims, damages, expenses or costs which may arise as a result of the Buyer not observing these conditions.

  6. It is a condition of every bulk sale through hose that the quantity shown on the tank wagon dip rod or other measuring devices employed by the Seller shall, for the purposes of accounts, be accepted by the Buyer as the quantity delivered. The Seller does not accept any responsibility whatsoever for discrepancies in the Buyer’s tank dip rods or other measuring devices. The Buyer should, when convenient, be present at the taking of measurements to verify them. If on delivery the Buyer or any representative of the Buyer mounts any tank wagon used on that delivery, the Buyer or representative shall do so at their own risk and the Seller accepts no responsibility whatsoever.

  7. It is the responsibility of the Buyer that all measuring devices, including gauge valves, are in a secure state and fit for an oil delivery.

  8. The Seller shall not be responsible for any failure to make deliveries if fulfilment has been delayed, hindered or prevented by circumstances outside the Seller’s reasonable control.

  9. Without limitation, such circumstances may include adverse weather, terminal supply restrictions, refinery outages, supplier allocation, industrial action, transport disruption, mechanical breakdown, market shortages or other events affecting the availability or supply of product.

  10. Where the supply of fuel is limited, delayed or disrupted due to circumstances beyond the Seller’s reasonable control, the Seller reserves the right to suspend, delay, reduce or partially fulfil any order and to allocate available product between customers at its sole discretion. The Buyer shall only be charged for the quantity actually delivered.

  11. The Seller does not guarantee availability of product at any specific terminal, refinery or source of supply. Fuel is obtained from third party suppliers and terminals and availability may be affected by restrictions or operational issues at those facilities.

  12. If the Buyer defaults on payment of monies due, the Seller shall have the right to enter upon any premises where the products are located and take possession of and remove the same.

  13. Prices include any government tax (other than Value Added Tax) in force at the time of supply. Any variation in the rate of existing tax or any additional taxation shall be for the Buyer’s account. Value Added Tax, where applicable, will be charged separately.

  14. In accepting delivery the Buyer warrants that the Buyer is entitled to purchase the Seller’s products outside any contractual commitments with any other party and indemnifies the Seller against any claim by such other party arising from any such commitment.

  15. Product Safety

In normal use fuel is safe, but the following precautions should be observed:

(a) The product supplied is flammable and in the event of fire a CO₂, foam or dry powder extinguisher should be used.

(b) Do not use water as this could spread the fire.

(c) Avoid handling the product. If splashed into the eyes or swallowed seek immediate medical assistance.

(d) The product should be stored in a properly constructed, installed and maintained tank.

  1. Due to the nature of the products, the Seller shall not be responsible for oil traces left by the delivery tanker or equipment on the Buyer’s property.

  2. Acceptance of delivery shall be treated as acceptance of these terms and conditions.

  3. If next day delivery is selected, orders must be placed before 15:00 that day to ensure delivery the next working day. Monday to Friday are considered working days.

  4. Any problems or issues with delivery must be reported to the Seller by the end of the next working day.

  5. Orders placed through third party platforms, marketplaces or intermediaries are also subject to these Terms and Conditions of Sale.

  6. Events outside our control (Force Majeure)

21.1 We shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an event outside our reasonable control (a “Force Majeure Event”).

21.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control including (without limitation):

(a) strikes, lock-outs or other industrial action;

(b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

(c) fire, explosion, adverse weather conditions (including storm, ice or snow), flood, earthquake, subsidence, epidemic or other natural disaster;

(d) interruption in or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

(e) accident or failure of delivery vehicles;

(f) shortage or failure of fuel supply from terminals, refineries or suppliers;

(g) interruption or failure of any utility service;

(h) interruption in or impossibility of the use of public or private telecommunications networks;

(i) acts, decrees, legislation, regulations or restrictions of any government or public authority.
